The OOLIO Referral Agreement sets out the Revenue Share and fees you will earn as a swiftpos Reseller and OOLIO referral partner. These are set out in your Contract Details section.

In addition to this, as part of the sales process, the OOLIO team will look for opportunities to reward merchants for signing up to OOLIO's Payment Services. This may come in the form of Monthly Fees, Annual Fees, or Subsidies to offset the cost of the merchant’s swiftpos Subscriptions. To ensure the Reseller is still earning revenue from these swiftpos products, the Reseller will be paid an Incentive Amount.

The effect of this is that:

• Where the merchant’s Hybrid Annual Fees are fully subsidised by OOLIO, the Reseller will be invoiced $0 for these by swiftpos, and OOLIO will pay the Reseller the full cost value of the fees as an incentive. These will be paid monthly over 12 months.
• Where the merchant’s Software Subscription is subsidised by OOLIO in whole or in part, the Reseller will be invoiced for the products at a discounted rate, in line with the proportion of the invoice value being subsidised, and the Reseller will be paid by OOLIO an incentive amount to match the markup on the subsidised portion of the products.

Payment Method

All Reseller fees, reimbursements, and incentives are paid automatically to your bank account as nominated in your agreement. OOLIO will provide a monthly payment invoice (RCTI). No invoicing is required from the Reseller to OOLIO. An example of this is at the end of this guide.

Summary of Fee Structures

All prices are exclusive of GST. Refer to your Referral Agreement for full terms.

1. Revenue Share

• swiftpos Reseller: 15% of GP as per your agreement
• Paid When: Monthly, within 21 days of the end of the first full month
• Process Summary: Revenue shares are calculated at the end of each month based on Total Transaction Value (excluding Surcharge) processed through the OOLIO Pay terminals. Payments start after the first full month.

2. Referral Fee

• swiftpos Reseller: $50 for the first OOLIO Payment Terminal, $20 per additional Payment Terminal
• Paid When: Paid in full within 21 days of the end of the first 6 months after going live
• Process Summary: Referral fees are paid where you refer a customer to us who is one of your swiftpos customers and they go live with OOLIO Pay as their primary payments facilitator within 90 days.

3. Implementation Fee

• swiftpos Reseller: $100 for the first OOLIO Payment Terminal, $40 per additional Payment Terminal
• Paid When: Paid in full within 21 days of the end of the first full month after go live
• Process Summary: This is paid where OOLIO requests you to install the OOLIO Payment Terminals for the merchant. This is a fixed payment to help offset the cost for your services.

4. Upgrade Fee

• swiftpos Reseller: V9 upgrade license provided to the Reseller for $0. Includes upgrades from v6 or v7. Reseller receives $60 per upgraded licence.
• Paid When: Paid monthly over 12 months
• Process Summary: This fee is paid where the site upgrades to v9 from v6 or v7 to enable OOLIO Pay. First payment starts at the end of the first full month after go-live and continues for 12 months.

5. Hybrid Annual Fees

• swiftpos Reseller: The Reseller will be invoiced $0 by swiftpos. OOLIO will pay the Reseller the full cost value of the fees as an incentive.
• Paid When: Paid monthly within 21 days of the end of the month
• Process Summary: If the swiftpos cost price of a customer's subsidised Hybrid Annual Fees is $120 per annum, swiftpos will supply these to the Reseller at $0 cost, and OOLIO will pay the Reseller $10 monthly.

6. Subscription Subsidy

• swiftpos Reseller: Applies where the merchant’s Software Subscription is subsidised by OOLIO in whole or part. Reseller will be invoiced at a discounted rate. OOLIO will pay the Reseller an incentive amount matching the RRP markup on the subsidised portion.
• Paid When: Paid monthly within 21 days of the end of the first full month
• Process Summary: If a customer’s swiftpos RRP is $170/month, and OOLIO subsidises their subscription fully, swiftpos will invoice the Reseller at $0 (normally $100), and OOLIO will pay $70 as an incentive.
